ContentApp Services & Subscription Agreement

Intellectus Universe Pte. Ltd.

Last updated: 17 October 2026

These Terms of Service ("Terms" or "Agreement") are entered into between Intellectus Universe Pte. Ltd. (UEN: 202556427R), a company incorporated in Singapore with its registered address at 12 Woodlands Square, #13-79, Woods Square, Singapore 737715 ("Service Provider", "IU", "we", "our" or "us"), and the business, organisation or individual that accesses or uses ContentApp ("Client", "you" or "your").

By signing in, clicking "I agree", or otherwise accessing or using ContentApp, you accept these Terms on behalf of yourself and, where applicable, your business or organisation. If you do not agree, please do not use the Service.

1.About ContentApp

1.1ContentApp is a social media content platform developed by IU that lets you connect your social media accounts, use artificial intelligence to draft posts and hashtags and to create images and videos, and publish those posts immediately or at a time you schedule (the "Service").

1.2The Service is hosted on reputable cloud infrastructure. Features, AI models and supported social platforms may be introduced, modified or withdrawn from time to time; we will give reasonable notice of any change that materially reduces the Service.

2.Free Plan, Trials & Discounts

2.1IU may, at its sole discretion, offer a free plan, a free trial period, a promotional credit allowance, or a special discount to new sign-ups, existing clients, or any other group of users. Any such offer is discretionary, may vary between clients, and may be amended, extended or withdrawn by IU at any time without creating an entitlement for other clients.

2.2The free plan carries a monthly credit allowance and posting limits shown in the Service. There is no obligation to subscribe to a paid plan.

3.Plans, Credits & Payment

3.1Paid use of the Service is billed under the plan you select (each a "Plan"). Each Plan includes a monthly allowance of credits, which are used as you generate content and publish posts, as described in the Service.

3.2Paid Plans are monthly subscriptions that renew automatically and are charged in advance through our payment provider, Stripe, until you cancel. Your credit allowance is refreshed at each renewal. Unused credits do not carry over to the next billing cycle.

3.3You may cancel at any time from the Billing page in the Service. Cancellation takes effect at the end of the current billing cycle, after which your account returns to the free plan. Except as required by law or as we expressly agree, fees are non-refundable, including for unused credits or partial billing cycles.

3.4Fees are exclusive of applicable taxes, which are payable by you. We may change Plan pricing or credit allowances for future billing cycles on reasonable prior notice. Changes will not apply retroactively to a period you have already paid for.

4.Accounts, Teams & Connected Social Accounts

4.1You sign in to the Service with your Google account. You are responsible for all activity under your account and for keeping your Google account secure.

4.2Where your Plan allows, you may invite other people to your team. Team members use your connected social accounts and your credits. As the team owner you are responsible for your team members' use of the Service and for any posts they publish through your connected accounts.

4.3When you connect a social media account, you authorise IU and its posting partners to access that account and to publish, on your behalf, the content you choose to post or schedule. You confirm that you own or are authorised to manage each account you connect. Content is published only when you, or a member of your team, choose to post or schedule it.

4.4Each social platform is operated by a third party under its own terms and policies, which you must comply with, including the LinkedIn User Agreement, the X Terms of Service, Meta's Terms (Instagram and Facebook), the TikTok Terms of Service, and the YouTube Terms of Service. When you connect YouTube, the Service uses YouTube API Services and you agree to be bound by the YouTube Terms of Service; Google's handling of your data is described in the Google Privacy Policy.

4.5Social platforms may change, limit, reject, delay or remove posts, or restrict account connections, at their discretion. IU is not responsible for the actions, availability or policies of any social platform. You may disconnect a social account at any time from the Social Accounts page.

5.Licence to Use the Service

5.1Subject to your compliance with these Terms and payment of applicable fees, IU grants you a non-exclusive, non-transferable, revocable licence to access and use ContentApp for your own or your organisation's business and personal purposes.

5.2You must not, and must not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying models, or architecture of the Service; (b) use the Service to build, train, or improve a competing product or service; (c) resell or provide the Service to third parties as a standalone product; or (d) use automated means to access the Service other than through its normal interface.

6.AI-Generated Content

6.1ContentApp uses artificial intelligence to help you create content. AI-generated text, images and videos may be inaccurate, incomplete, out of date, or similar to content generated for others. You must review every post, image and video before you publish or schedule it.

6.2You are solely responsible for the content you publish through the Service, including its accuracy, its compliance with law and with each platform's rules, and any disclosures required for advertising, endorsements or AI-generated material.

6.3As between you and IU, you own the content you upload and, to the extent permitted by law and by the terms of the AI providers used to create it, the content generated for you through the Service. IU does not guarantee that generated content is unique, protected by copyright, or free of third-party rights.

7.Acceptable Use

7.1You must not use the Service to create, upload or publish content that: (a) is unlawful, defamatory, fraudulent or misleading; (b) infringes any intellectual property, privacy or publicity right; (c) is hateful, harassing, violent, sexually explicit, or exploits minors; (d) impersonates any person or organisation; (e) is spam or artificially inflates engagement; or (f) breaches the terms or community rules of any social platform.

7.2IU may remove content, suspend or restrict an account, or disconnect a social account where it reasonably believes this Clause 7 has been breached, or to protect the Service, other users or third parties, or to comply with law.

8.Your Data, Confidentiality & Data Processing

8.1All content, media, prompts and other information you upload or generate through the Service remain your property. IU does not sell or commercially exploit your confidential information.

8.2IU processes personal data and other information you submit to the Service solely to provide, maintain, and improve the Service, in accordance with the ContentApp Privacy Policy and Annex A, which forms part of these Terms. In the event of any inconsistency between these Terms and Annex A in relation to the processing of personal data, Annex A shall prevail solely to the extent necessary to give effect to the parties' data-processing obligations, and otherwise these Terms shall remain in full force. This includes appropriate technical and organisational measures to protect your data, use of vetted sub-processors where necessary to operate the Service, and deletion or return of your data on request following termination, subject to any retention we are required by law to maintain.

8.3To publish your posts, images and videos are stored at unlisted web addresses that the social platforms use to fetch them. Anyone who has the exact address of a file can open it.

8.4Each party shall keep confidential any non-public information disclosed by the other in connection with the Service, and shall not disclose it except to personnel or contractors who need it to perform their obligations and who are bound by equivalent confidentiality obligations. This Clause 8 survives termination of this Agreement.

8.5You acknowledge that de-identified or aggregated usage insights, technical diagnostics, and product performance information may be used by IU for Service improvement, quality assurance, and research purposes, without including client-identifiable confidential information.

9.Intellectual Property

9.1IU and its licensors retain all right, title, and interest in and to the Service, including its software, models, design and content supplied by IU, except for any Client-supplied content within it.

9.2You retain all right, title, and interest in your own content and media uploaded to or generated through the Service, as set out in Clause 6.3.

10.Term, Suspension & Termination

10.1This Agreement commences when you first sign in and continues until terminated. Paid Plans renew automatically each month unless cancelled under Clause 3.3.

10.2Either party may terminate for convenience on notice, or immediately if the other party materially breaches this Agreement and fails to remedy the breach within a reasonable period after notice. IU may also suspend or limit access to protect the Service, other users, or to comply with law.

10.3Any failure by you to pay any amounts due under this Agreement or your Plan when due shall constitute a material breach of this Agreement, and IU may suspend the Service or terminate this Agreement immediately.

10.4On termination, your right to access the Service ends. Posts already published to social platforms are not removed by IU. We will provide a reasonable opportunity to retrieve your data before deletion, except where you request earlier deletion or law requires otherwise.

11.Incorporation of Standard Terms

11.1The following ai2bundle.co policies are incorporated by reference and form an integral part of this Agreement:

11.2Where any provision of those general policies conflicts with a ContentApp-specific provision of this Agreement or the ContentApp Privacy Policy, this Agreement and the ContentApp Privacy Policy govern to the extent of the inconsistency, solely in relation to ContentApp.

12.Disclaimers & Exclusion and Limitation of Liability

12.1The Service is provided "as is" and "as available." IU does not warrant that AI-generated outputs will be accurate, complete, current, or fit for any particular purpose, that posts will be published by any social platform, or that the Service will be uninterrupted or error-free.

12.2To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of profits, revenue, or business opportunities, loss of data or information, loss of goodwill or reputation, loss of followers or engagement, business interruption, cost of substitute services, or any other intangible losses. This exclusion applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12.3For the avoidance of doubt, the Parties agree that all liability of the Service Provider arising out of or in connection with this Agreement shall be governed by, and subject to, the limitation and exclusion provisions set out in the Service Provider's Terms and Conditions, as applicable.

12.4Nothing in this Agreement excludes liability that cannot lawfully be excluded.

13.Good Faith & General

13.1The parties intend to cooperate constructively; should any issue arise, both parties will work together in good faith towards a practical resolution before pursuing formal dispute resolution.

13.2This Agreement, together with the policies incorporated under Clause 11 and your Plan, constitutes the entire agreement between the parties on this subject and supersedes prior discussions on the same subject. IU may update these Terms from time to time by posting the updated version and, where changes are material, asking you to accept the updated Terms in the Service. You may not assign this Agreement without IU's consent; IU may assign it in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remainder continues in effect.

14.Governing Law & Dispute Resolution

14.1This Agreement is governed by the laws of Singapore.

14.2Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules") for the time being in force, which rules are deemed incorporated by reference into this clause. The seat of arbitration shall be Singapore, the Tribunal shall consist of one (1) arbitrator, and the language of the arbitration shall be English.

15.Acceptance

15.1You accept this Agreement electronically by ticking the box confirming that you agree to these Terms and the ContentApp Privacy Policy and continuing in the Service. This is as valid and binding as a physical signature. IU records the date, time, version accepted and the IP address used.
